1. Acceptance of Terms
By accessing or using any services offered by Repulix (“we,” “us,” or “our”), the client (“you” or “Client”) agrees to be bound by these Terms of Service (“TOS”). If you do not agree to these terms, you may not access or use our services.

2. Services Overview
Repulix offers software-based and service-based tools designed to help local businesses improve their online reputation, including but not limited to:

  • Automated review requests via email and SMS

  • Review funnels linking to Google, Facebook, and other review platforms

  • Review monitoring and alerts

  • Custom branded dashboards

  • Google Business Profile (GBP) optimization

  • Local SEO and citation management

We do not guarantee any specific number of reviews, ratings, or rankings as a result of our services.

3. Client Responsibilities
As a client, you agree to:

  • Obtain necessary customer consent for sending email and SMS communications per privacy laws (e.g., TCPA, CAN-SPAM, GDPR, HIPAA).

  • Provide accurate business data including review platform links, customer lists, and branding assets.

  • Use the services ethically, without attempting to manipulate, fabricate, or incentivize reviews in a deceptive way.

Failure to comply may result in termination of service with no refund.

4. Third-Party Platforms
We integrate with third-party platforms like Grade.us, Zapier, Google, Facebook, and others. Repulix is not liable for:

  • Downtime or service outages of those platforms

  • Policy changes or account suspensions by third parties

  • Errors in API or platform functionality outside our control

Your use of those platforms is subject to their respective terms and privacy policies.

5. Subscription & Payment
5.1 Plans
We offer recurring subscription plans:

  • Core: $179.99/mo

  • Core+: $224.99/mo

  • Pro: $229.99/mo

  • Elite: $749.99/mo

Upgrades, downgrades, and cancellations can be made through your account dashboard or by emailing us.

5.2 Free Trial
Eligible clients may receive a 30-day free trial (“Proof Month”). If not canceled before the trial ends, the selected plan will be billed automatically.

5.3 Payment & Refunds

  • Payments are processed via Stripe and subject to Stripe’s terms.

  • Refunds are not issued for partial months or unused time unless required by law.

6. Data Privacy & Security
6.1 Client Data
We handle all customer data with care and do not sell, rent, or share data with third parties unless required by law.

6.2 Compliance
It is the client’s sole responsibility to:

  • Collect and store customer consent appropriately

  • Ensure communications comply with GDPR, TCPA, CAN-SPAM, HIPAA, or other applicable laws

  • Use PHI/PII filtering options when available (e.g., in Grade.us settings)

Repulix disclaims all liability for your failure to comply with local, state, national, or international privacy laws.

7. Account & Access

  • You are responsible for maintaining the confidentiality of your login credentials.

  • You agree not to share, resell, or duplicate your dashboard or our services without written permission.

  • We reserve the right to revoke access if misuse or unauthorized use is detected.

8. Intellectual Property

  • All Repulix branding, visuals, templates, documentation, and software are owned by Repulix or its licensors.

  • You may not reverse engineer, replicate, or commercially exploit any part of the service without permission.

9. White Labeling
If you subscribe to a plan that includes white labeling:

  • You may brand the client dashboard with your own logo and business name.

  • Repulix retains ownership of the software and back-end systems.

  • You are liable for representing services truthfully under your brand.

10. Service Availability

  • We strive to maintain uptime, but we do not guarantee uninterrupted access.

  • Scheduled maintenance or third-party outages may impact availability temporarily.

11. Termination
We may suspend or terminate your access for:

  • Breach of this agreement

  • Fraudulent, unethical, or unlawful behavior

  • Non-payment after reasonable notice

Upon termination, your access to dashboards, automation, and client data may be revoked.

12. Disclaimers

  • Services are provided “as is” without warranties of any kind, express or implied.

  • Repulix does not guarantee increased revenue, search rankings, or review volume.

13. Limitation of Liability
To the fullest extent permitted by law, Repulix shall not be liable for:

  • Indirect, incidental, or consequential damages

  • Data loss, reputational damage, or lost profits

  • Legal penalties incurred from misuse or non-compliance by the client

In no case shall Repulix’s total liability exceed the amount paid by the client in the previous 3 months.

14. Indemnification
You agree to indemnify and hold harmless Repulix and its affiliates from any claims, liabilities, or expenses arising from:

  • Your misuse of the services

  • Your violation of any law or regulation

  • Your breach of this agreement

15. Modifications
We may revise these terms at any time. Updates will be posted on our website. Continued use of the service after changes constitutes acceptance.

16. Governing Law
This agreement shall be governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Collin County, Texas.
